Terms of Service
These Terms of Service govern access to and use of the Varentum website, portal, communications, training materials, coaching workflows, and related services. By using Varentum, submitting information, enrolling, accessing the portal, or opting into communications, you agree to these Terms.
Eligibility And Account Access
Access to Varentum may be limited to invited, accepted, enrolled, or paying participants. You agree to provide accurate information and to keep access links, admin codes, and portal credentials confidential. You are responsible for activity under your account or access credentials.
Educational Use Only
Varentum provides frameworks, scenarios, reminders, debriefs, and coaching prompts for leadership development. Materials are not a substitute for professional advice, company policy, union agreements, legal requirements, safety obligations, or management judgment. You agree to apply all guidance in a manner consistent with your duties, workplace rules, and applicable law.
No Guaranteed Results
Leadership outcomes depend on many factors outside Varentum's control, including participant effort, workplace conditions, company culture, timing, and third-party conduct. Varentum does not guarantee promotions, employment outcomes, revenue, safety outcomes, personnel outcomes, or specific business results.
Participant Conduct
You agree not to misuse the service, interfere with its operation, submit unlawful or harmful content, attempt unauthorized access, copy restricted materials, reverse engineer systems, or use Varentum to harass, discriminate, retaliate, or violate another person's rights.
Intellectual Property
Varentum owns or licenses the website, portal, curriculum, frameworks, prompts, written materials, designs, branding, workflows, debrief formats, and related intellectual property. You receive a limited, revocable, non-transferable right to use materials for your own participation in the program. You may not resell, publish, distribute, train competing systems on, or create derivative commercial products from Varentum materials without written permission.
User Submissions
You retain ownership of information you submit, such as check-ins, scenarios, and commitments. You grant Varentum a license to use, store, process, analyze, summarize, and display that information as needed to operate the program, generate debriefs, improve services, and maintain records. Varentum may use de-identified or aggregated information for quality improvement and product development.
AI And Drafted Debriefs
Some Varentum debriefs or recommendations may be drafted or assisted by automated systems and then reviewed according to the applicable program tier. AI-generated or AI-assisted content may be incomplete, inaccurate, or inappropriate for a specific workplace. You are responsible for reviewing and applying any guidance with independent judgment.
Payments, Refunds, And Cancellations
Payment, refund, and cancellation terms are described in the Refund and Cancellation Policy. If a specific written agreement or invoice conflicts with the website policy, the more specific written agreement controls for that purchase.
Email And SMS Terms
By providing contact information, you authorize Varentum to send operational, enrollment, portal, reminder, and program communications. SMS messages are optional and require opt-in.
- Program name: Varentum weekly nudges, portal reminders, and operational updates.
- Message frequency: up to 4 weekly nudges per active program week, plus occasional operational messages related to access, enrollment, or debriefs.
- Rates: message and data rates may apply.
- Opt out: reply STOP to cancel SMS messages.
- Help: reply HELP or email hello@joinvarentum.com.
- Consent: SMS consent is not sold, rented, or shared with third parties for their marketing. Where required by law, SMS consent is not a condition of purchase.
- Carriers: mobile carriers are not liable for delayed or undelivered messages.
Privacy
Your use of Varentum is also governed by the Privacy Policy, which explains how information is collected, used, shared, and retained.
Third-Party Services
Varentum may rely on third-party providers such as Supabase, Vercel, Resend, Twilio, payment processors, analytics providers, and other vendors. Varentum is not responsible for third-party outages, delays, policies, acts, or omissions.
Service Availability And Changes
Varentum may modify, suspend, discontinue, or limit any feature, curriculum, communication channel, or service at any time. We may update these Terms by posting a revised version. Continued use after changes means you accept the updated Terms.
Disclaimers
Varentum is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, or uninterrupted operation.
Limitation Of Liability
To the maximum extent permitted by law, Varentum and its owners, operators, contractors, vendors, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or lost-profit damages. To the maximum extent permitted by law, total liability for any claim will not exceed the amount paid by you to Varentum for the service giving rise to the claim during the three months before the event giving rise to liability.
Indemnification
You agree to defend, indemnify, and hold harmless Varentum and its owners, operators, contractors, vendors, and affiliates from claims, damages, liabilities, losses, costs, and expenses arising from your misuse of the service, violation of these Terms, workplace decisions, submitted content, or violation of law or third-party rights.
Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles, unless a different law is required by applicable consumer protection law.
